The deal, without the fog.
These terms govern your use of Orbit. By creating a studio or using the service on behalf of one, you agree to them.

Draft: this hasn’t been reviewed by a lawyer yet and may change before Orbit’s public launch.
1. The service
Orbit provides project tracking, media review and delivery, invoicing, and voice rooms through a Windows desktop app, with client review links that open in any browser. We may add, change or remove features, but we will not materially reduce the core function of a paid plan during a billing period you have already paid for.
Some features depend on third parties, such as Supabase for sign-in and storage and OpenRouter for Ask Orbit, and on your own network and hardware. We are not responsible for failures outside our control, though we will work around them where we can.
2. Accounts and seats
You must be at least 18 and able to enter a contract. You are responsible for the activity of everyone you invite to your studio and for keeping credentials secure. Two-factor authentication is available on every plan and required for owners of Studio and Studio + Live plans from January 2027.
A seat is a named member of your studio. Client guests — people who only open a review link or pay an invoice — do not consume a seat. Seat counts are checked monthly; if you exceed your included seats, the extra seats are billed at the rate shown on the pricing page.
3. Acceptable use
Do not use Orbit to:
- upload or share content you do not have the rights to distribute;
- distribute malware, or attempt to gain access to another studio's data;
- probe, scan or stress the service except under the disclosure policy on the security page;
- resell Orbit as a white-label service without a written agreement;
- break the law, including sanctions and export-control law.
We may remove content or suspend a studio that violates these rules. Where the violation is not urgent, we will tell you first and give you a reasonable chance to fix it.
4. Your content
You keep all rights to the media, projects, notes and invoices you put into Orbit. You grant us a limited licence to host, transmit and back up that content solely to provide the service to you and the people you share it with.
You are responsible for having the rights to upload what you upload, and for the permissions you give client guests. We do not monitor studio content and we do not use it to train models.
We may use your studio name and logo in a customer list, unless you ask us not to.
5. Billing and cancellation
Orbit is free during the beta. When billing starts, plans will be billed monthly or annually in advance, in US dollars, and we’ll tell you before anything is charged.
When billing starts, founding studios get two months free before their first charge. Studios that join after the founding list closes get a 14-day trial that requires no card. If you add a card, billing starts when the free period ends. Annual plans are charged once and renew yearly until cancelled. The refund and cancellation policy sets this out in plain terms.
You can cancel at any time in Settings → Billing. Cancellation stops future renewals; the current period runs to its end. We do not refund partial months, except where required by law, or where we materially fail to provide the service.
How failed payments are handled will be set out here before billing starts.
Founding-studio rates are locked for as long as the studio remains a continuous paying customer. Cancelling and returning later does not restore the founding rate.
6. Client guests and links
You control who receives a review or delivery link, what it grants, and when it expires. You are responsible for the people you invite. A guest who violates these terms may be blocked, and repeated abuse may affect the inviting studio.
Watermarks, download permissions and password protection exist to help you protect unreleased work. They are not a guarantee against a determined viewer with a screen recorder. Do not send a link to anyone you would not send the file to.
7. Voice rooms
Voice rooms are not recorded by Orbit. If you enable recording, you must tell everyone in the room and obtain any consent the law where they are requires. You are responsible for that notice.
Screen control is desktop-only and requires explicit confirmation from the person sharing. Do not use it to access a machine you are not authorised to control.
8. Orbit's intellectual property
Orbit, its name, logo, interface and code are ours. These terms do not grant you any right to them beyond use of the service. Feedback you send us may be used to improve the product without obligation, but we will credit you if you ask.
9. Availability
We aim for 99.9% monthly availability of the web app and API, measured as in the status page. Planned maintenance is announced in advance. This is a target, not a service-level agreement, unless you have a signed enterprise agreement that says otherwise.
Backups run continuously and are restore-tested. You can export your studio at any time from Settings → Data.
10. Liability
To the extent the law allows, neither party is liable for indirect or consequential loss, lost profits, or lost data where you failed to keep the export we provide. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or CAD $100 if you are on a free trial.
Nothing here limits liability for fraud, wilful misconduct, or anything that cannot be limited by law.
11. Suspension and ending
You may stop using Orbit at any time. We may suspend or end your access if you materially breach these terms and do not fix it within 14 days of notice, or immediately for a serious security or legal risk. If we end your account without cause, we refund the unused portion of your prepaid term.
After termination you have 30 days to export your data; after that it is deleted, except invoice records retained for tax.
12. Changes to these terms
We may update these terms. If a change materially affects your rights or billing, we will email account owners at least 14 days before it takes effect. Continuing to use Orbit after that date means you accept the new terms.
13. Governing law
These terms are governed by the laws of Ontario, Canada, and the courts of Toronto have exclusive jurisdiction, except where local consumer law gives you a different forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
